YPF Sells Stake in Profertil for $635 Million

YPF sold the 50% it held in the agribusiness company Profertil in a deal totaling US$635 million, reaffirming its commitment to the Plan 4x4 and the production of Vaca Muerta. The CEO and president of the oil company, Horacio Marín, indicated that the Board of Directors approved the offer presented by Agro Inversora Argentina S.A. (“Agro Inversora”) – a society of the Adecoagro group – and the Argentine Cooperatives Association (ACA) at its meeting on Thursday, December 11. The state-owned company will use these funds as a cushion to weather a possible drop in oil prices in 2026, as confirmed during the year-end toast attended by the Argentine News Agency. “This operation allows the company to continue focusing on its strategic business, such as the development of Vaca Muerta, to consolidate itself as a world-class shale company. And he added: “This strategic alliance with Adecoagro represents a transcendental step in consolidating our presence in the production and distribution of agricultural inputs in Argentina.” "We want to continue to empower this operation, where gas is transformed into a key input for food production," stated Mariano Bosch, co-founder and CEO of Adecoagro, on the matter. From ACA's side, General Manager Ricardo Wlasicsuk confirmed: "Being able to integrate into the local production of granulated urea implies strengthening our supply of a key input for agriculture, in line with our comprehensive proposal directed at our Cooperative Fabric." In terms of active portfolio management, its second pillar, the company has completed the almost total exit from mature conventional fields and the sale of other non-strategic assets in Chile and Brazil, while adding strategic assets in Vaca Muerta with the acquisition of Sierra Chata from ExxonMobil and Rincón de la Ceniza and La Escalonada from Total Argentina. During the toast, Marín announced that the pipeline for export from the Atlantic is advancing, which will begin on January 1, 2027. He also announced a series of agreements for the commercialization of food products, including one with the fast-food chain McDonald's. Adecoagro and ACA acquire Profertil for US$1.200 million With YPF's recent transaction, both companies now own 100% of the fertilizer-producing agribusiness. Its location, along with its productive and commercial conditions, are strategic for the region. The Plan 4x4 is the guide that drives this transformation,” stated the oil company's official communiqué. In turn, it maintained that the decision to cede its stake in the leading producer of granulated urea “reaffirms its commitment to the company's transformation, generating value for its shareholders and promoting the country's energy development.” It also highlighted the achievements carried out by the commercial and operational strategy almost two years after its implementation. “YPF has made significant progress in each of the pillars that make up the Plan 4x4. Days ago, the Canadian multinational Nutriense divested the other 50% it held for a total of US$600 million. In this way, Adecoagro is left with 90% of the stake, while ACA comes to hold the remaining 10% of the share capital. Profertil is one of the most efficient producers of urea and ammonia in the world and the largest fertilizer producer in South America. It supplies 60% of urea consumption in Argentina, with an annual capacity of 1.3 million tons of urea and 790,000 tons of ammonia. "We are very excited. It is one of the best companies in Argentina, with an experienced and committed professional team."
